Tourasonic Terms and Conditions

1. Agreement to Terms

 

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and Tourasonic (referred to herein as "Company," "we," "us," or "our"), concerning your access to and use of the Tourasonic.com website (the "Site") and any related services (collectively, the "Services"), including the purchasing of 360° videography and virtual tour production.

By accessing the Site or using our Services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and must discontinue use immediately.

3. Services and Purchases

 

  • Service Offerings: Tourasonic provides professional 360° videography, photography, and virtual tour creation services, including publishing content to third-party platforms like Google Street View.

  • Accuracy of Information: We attempt to be as accurate as possible in describing our services. However, we do not warrant that all service descriptions, pricing, or other content on the Site is accurate, complete, reliable, current, or error-free.

  • Order Acceptance: All purchase requests are subject to acceptance by us. We reserve the right to refuse any request placed through the Site.

  • Pricing: All pricing is subject to change without notice. Final service pricing will be confirmed in a separate project agreement or invoice provided to the Client.

 

4. Client Responsibilities (Warranties for Content)

 

By contracting with Tourasonic, the Client warrants that:

  1. Ownership and Consent: The Client is the rightful owner, or authorized agent, of the property to be filmed/photographed, and has all necessary rights and permissions to allow Tourasonic to access the property and create the content.

  2. Privacy and Releases: The Client is solely responsible for notifying employees, tenants, customers, and any other individuals who may be incidentally captured in the imagery/video. The Client must obtain all necessary waivers, model releases, or opt-out consents from such individuals prior to the filming date, as required by law.

  3. Third-Party Platforms: The Client acknowledges that publishing content to platforms like Google Street View is subject to that platform’s terms, conditions, and content policies (e.g., blurring faces, removal requests). Tourasonic is not responsible for the ongoing policies or functionality of these third-party platforms.

 

5. Intellectual Property Rights

 

  • Our Content: Unless otherwise indicated, the Site and Services (including all source code, software, website designs, audio, video, text, and photographs) are our proprietary property and are protected by copyright and intellectual property laws.

  • Grant of License to Client (Final Tours): Upon full payment for the Services, Tourasonic grants the Client a non-exclusive, royalty-free, perpetual license to use, display, reproduce, and publicly present the final, completed virtual tour content (the "Licensed Content") for the purpose of marketing or showcasing the property.

    • This license allows the Client to embed the Licensed Content on their website, share it on social media, and host it on third-party platforms like Google Maps.

    • The Client may not edit, alter, or sublicense the Licensed Content (other than standard re-sizing for web purposes) without the express written permission of Tourasonic.

  • Tourasonic Retains Copyright: Tourasonic retains all intellectual property rights, including the underlying copyright, in the raw image files, video assets, and final Licensed Content.

 

6. Disclaimer of Warranties

 

The Site and Services are provided on an "as-is" and "as-available" basis. You agree that your use of the Site and our Services will be at your sole risk. Tourasonic makes no warranties or representations about the accuracy or completeness of the Site's content or the content of any websites linked to this Site.

 

7. Limitation of Liability

 

In no event will Tourasonic or its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or Services, even if we have been advised of the possibility of such damages.

 

8. Governing Law

 

These Terms and Conditions and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

 

9. Modifications and Interruptions

 

We reserve the right to change, modify, or remove the contents of the Site or Services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or Services.
